Please read all of The Ultimate Human VIP Community Terms & Conditions (these “VIP Terms”) set forth below carefully. These VIP Terms constitute a legally binding agreement and contain important information regarding your legal rights, remedies and obligations.  These VIP Terms are in addition to the general terms of service located at www.theultimatehuman.com/terms (the “General Terms”), which are incorporated herein by reference. These VIP Terms (with the General Terms) include (but are not limited to) various limitations and exclusions, a binding arbitration clause, a class action waiver, a clause that governs the jurisdiction and venue of disputes, and obligations to comply with applicable laws and regulations.

Terms capitalized but not defined in these VIP Terms shall have the meaning ascribed to them in our General Terms.  In the event of any conflict between these VIP Terms and the General Terms, these VIP Terms shall prevail.

These VIP Terms govern your enrollment in The Ultimate Human® VIP Community (the "VIP Community") operated by Ultimate Human, LLC ("TUH," "we," "our," or "us"). By completing your purchase, you ("you" or "Member") agree to be legally bound by these VIP Terms (as well as our General Terms).

By subscribing to become a member of the VIP Community acknowledge that TUH, its affiliates and its and their agents and representatives do not provide licensed medical advice, and information provided thereby or herein is not intended to be a substitute for professional medical advice, diagnosis, or treatment.  Always seek the advice of your physician or another qualified health provider with any questions you may have regarding a medical condition.

1. Subscription Information

You agree to pay TUH the subscription amount indicated at checkout for the subscription plan you select. Your membership includes access to TUH's digital protocols, downloadable materials, exclusive partner discounts, and community-based live or pre-recorded content made available by TUH from time to time (the "Platform Content"). TUH reserves the right to schedule, modify, or deliver content at its sole discretion.

2. Contract Term

a. Annual Plan

If you choose to join the VIP Community on our annual plan, enrollment begins upon TUH receiving your payment and is valid for 12 months from such date. Your plan will automatically renew for an additional 12-month term at the then-current rate unless you cancel in writing at least 30 days before the renewal date. Access to the Platform Content will continue unless and until canceled.

b. Monthly Plan

If you choose to join the VIP Community on our monthly plan, enrollment begins upon payment and renews automatically every 30 days unless canceled in writing. You may cancel anytime, and your access will continue until the end of the paid billing cycle. No refunds will be provided for any unused time.

3. Transfer

Your subscription is non-transferable. You may not assign or transfer your membership to another individual or entity without prior written approval from an authorized TUH representative.

4. Payment

You authorize TUH to charge your payment method upon enrollment and, for monthly and annual plans, on each subsequent billing cycle. If a payment fails, TUH may suspend or terminate access to the VIP Community and / or Platform Content until payment is resolved.

5.  Cancellation and Default

Within 72 hours of you submitting payment for an annual plan enrollment, You may request cancellation of your purchase of such annual plan enrollment in the VIP Community by submitting (within such 72 hour period) a written and signed request for refund to info@theultimatehuman.com with "ATTN: VIP PROGRAM CANCELLATION" in the subject line. Refunds, if timely submitted and granted, may take up to 4–6 weeks to process.

ALL SALES (INCLUDING ENROLLMENT UNDER THE MONTHLY PLAN) ARE FINAL, SUBJECT ONLY TO CANCELLATION IN THE MANNER SET FORTH ABOVE.

Failure by you to pay in accordance with these VIP Terms (including rejection of your payment for any reason by the credit card or other payment processor you choose to use in submitting a payment by you) will result in a default by you.  In the event of such default, TUH may terminate your subscription and enrollment in the VIP Community, revoke access to the VIP Community and / or Platform Content, and pursue any other legal remedies available to TUH in the applicable circumstances. No refunds will be issued under these conditions.

6. Upgrade Opportunities

TUH may offer upgrades, such as live event access or private consultations, for an additional fee. You are not obligated to purchase upgrades to remain in the VIP Community.  TUH reserves all rights regarding if, how and to whom to allocate such upgrades.

7. Non-Participation

If you do not attend or access live or recorded sessions, you are still bound by these VIP Terms (and the General Terms). Missed content may be available for later viewing if still within your subscription period. Any such access ends upon expiration or termination of your subscription period.

8. Discount Eligibility Verification

Any promotional pricing or discount which TUH may offer from time to time is subject to post-purchase verification. If eligibility cannot be confirmed, your plan will revert to the full price stated at the time of purchase.  TUH reserves all rights regarding if, how and to whom to allocate any and all promotional pricing and discounts.

9. Warranties & Disclaimers

You agree not to rely on any guarantees, representations, or warranties unless expressly stated in writing and included in these Terms. No oral statements or promotional materials made, given or otherwise presented in relation to the VIP Community or Platform Content (whether by TUH, its affiliates or any of their respective agents, representatives or guests) override these Terms.

10. VIP Community Changes

VIP Community components (e.g., delivery method, session format, platform) and Platform Content generally are subject to change without notice. TUH may substitute content, cancel sessions, or alter the structure of VIP Community components or the Platform Content as it deems appropriate from time to time in its sole discretion and without notice.

11. Conduct & Community Guidelines

You agree to:

·   Engage respectfully with fellow members of the VIP Community and agents and representatives of TUH and its affiliates

·        Avoid promoting external services, products, or misinformation

·        Protect the confidentiality of member stories and content

·        Comply with all posted guidelines within the community

Violations may result in suspension or termination from the VIP Community without refund.

12. Language & Translation

All VIP Community content provided by TUH will be provided in English. Translation services are not guaranteed. If offered, an additional fee may apply.

13. Ownership & Use of Materials

All VIP Community materials and materials on the Platform Content (collectively "Materials") are proprietary to TUH and its affiliates and protected under intellectual property laws. You agree not to:

·        Reproduce, sell, or share any part of the Materials

·        Use Materials in your own business, coaching, consulting, or training programs

·        Distribute Materials to any third party without prior written consent

Materials are licensed to you for personal use only and may not be repackaged or resold.

14. Transaction Fees

You are responsible for any foreign exchange fees, wire transfer costs, or banking transaction charges incurred through your payment method.

15. Satisfaction Guarantee

The Ultimate Human does not offer a satisfaction guarantee. Due to the immediate delivery of digital content, all sales are final, and no refunds will be granted after the transaction, except as allowed in these VIP Terms.

Limitation of Liability

To the fullest extent allowed by law, TUH disclaims any liability for direct, indirect, incidental, or consequential damages arising from your use of the VIP Community. Content is provided "as-is" and is for educational purposes only. It does not constitute medical advice.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes shall be exclusively resolved in the state or federal courts located in Miami-Dade County, Florida.
